The throughline of Movere runs straight and true across each quadrant of the documentary.

In an era where storytelling holds unparalleled power, Movere stands out as a compelling narrative that transcends borders and bridges diverse communities. Our team of visionary leaders are committed to delivering a cinematic experience that not only entertains but also inspires, educates, and sparks meaningful conversations.

To realise the full potential of Movere, we are seeking financial backing of €9.8 million euro. This investment will fuel critical production expenses, including filming locations, talent acquisition, post-production, marketing, and distribution. With your partnership, we aim to elevate Movere from concept to cultural sensation, leaving an indelible mark on the educational documentary stage and driving forward a new intellectual property (IP), attached to a young visionary, the originator and driver of Movere.

The creator and key stakeholder of Movere is Agathe Sitruk, a French-born, young individual whose vibrant spirit and creative sensitivity immediately set her apart. Agathe is firmly in the drivers seat. She is highly attuned to the emotional responses of those around her, possessing a remarkable ability to empathise and connect on a deeper level. This innate sensitivity extends beyond individual interactions to encompass a profound appreciation for differing cultures and their unique expressions.

Her curiosity knows no bounds, and Agathe is constantly drawn to explore the rich tapestry of human experience. Whether through travel, literature, or engaging with diverse communities, she seeks to understand the complexities of cultural interactions and the shared threads that bind us together.

The Movere documentary project emerges as a fresh and unique endeavour, conceived from the depths of a beautiful origin story by Agathe Sitruk, a highly intelligent, emotionally connected young person from Central Europe. Movere, born in the tiny hours in central Paris during a particularly curious evening, over conversation in respect to the world in which Agathe has inherited. The world is currently marked by turmoil, abuse, estrangement, political conflict, and rapidly changing cross-cultural dilemmas, including the profound impact of technology, which is sure to divide more than ever before.

Agathe's journey is one of resilience and enlightenment, through the eyes and vision of a beautiful rainforest mind.

In a world increasingly disconnected from basic human emotions, Movere serves as a beacon of hope and reconnection. Agathe's vision for the documentary is rooted in her quest to understand the human condition, supported by her belief in the power of storytelling to transcend boundaries and heal societal wounds.

1. The Objectives

The primary goal of the documentary film project Movere is to explore and celebrate the universal language of human emotion.

Through captivating storytelling and stunning visuals, the film aims to:

  • Illuminate the cultural, historical, and scientific significance of human emotion.

  • Foster cross-cultural understanding and empathy by showcasing diverse forms of human emotion from around the world.

  • Inspire audiences to appreciate the beauty and complexity of the human experience.

  • Spark meaningful conversations about the ways in which differing emotions and emotional interpretation shapes our identities, communities, and interactions.

  • Ultimately, Movere seeks to promote social cohesion, cultural exchange, and positive change on a global scale.


2. Budget and Funding Requirements (Summary)

The production of Movere requires careful consideration and substantial financial investment to ensure its success. A summary of the budget and funding requirements is as follows, across a €9.8 million euro venture injection. We note a forecast total spend of €8,791,800, leaving a runoff value of €1,008,200 buffer zone (excluding any future negotiated earnings by the LupoToro Group, pending negotiation with Agathe Sitruk).

Runover Funding Solutions: Screen Australia

Strategic runover funding solutions can be difficult to obtain or renegotiate. Preliminary internal advice and discussions regarding Movere, as well as soft external advice, has provided to emergency runover solutions:

  1. Direct funding under a National Grant Scheme, provided by Screen Australia, of up to $500,000 (€301,182). This is generally considered a grant, and may not be recoupable, limiting the financial liability of the Movere project.

  2. Excess funding under a National Grant Scheme, provided by Screen Australia, may be obtained in excess of $900,000 (€542,128), if required. This is likely to be considered a recoupable investment.

In 2018/19 Screen Australia earned $4.92 million back in net recoupment on its investments and generally does not have large expectations for a return on initial investment, but for all intents and purposes, appears to be operating under a growth mandate (i.e. investment into locally funded or produced content for global reach, and therefore is prioritising project completion over profitability. This finance is put back into the agency to fund other projects.

3. Team: Immediately Accessible Persons (Summary)

Constantine Giannaris, film director.

Constantine Giannaris

Mr Giannaris is a multi-beneficial partner to include within the Movere documentary project, as he not only is within the extended LupoToro Group network of conduits and partners, and therefore accessible, but has a profound understanding of history and philosophy, having completed studies at the Universities of Kiel and Birmingham. Mr Giannaris is expected to work on a flat fee, individual basis. He is self-funded in respect to travel and time, pending further commitments.

Lead Producer (Chryssanthi Kouri) and Principal Film Crew

Lead Producer duties are expected to be presented to Chryssanthi Kouri, who is also well positioned to provide Agathe Sitruk ongoing coaching, support, and any required guidance (separately unpacked, see section 10). Ms. Kouri is an award-winning film director and producer within the indie film space (EU, 2020-2024).

Ms. Kouri maintains an active Principal Film Crew, for principal photography works, which can be deployed directly. Her talent acquisition capacities cover end-to-end crew, necessary film experts, and researchers, on an as-needed basis. Equipment cost and leasing are a built-in benefit of the integration of the Kouri Principal Film Crew (preexisting). Ms. Kouri and her film crew are
expected to work on a flat fee, collective basis. She is self-funded in respect to travel and time, pending further commitments.

Disclosure: Constantine Giannaris, Chryssanthi Kouri and C.Kouri, Principal Film Crew form part of a conduit connection (through Mr Ford Theodore Nicholas’ personal conduit network; Mr Nicholas holds Directorship within the LupoToro Group). At the time of preparation, we have chosen not to formally engage the parties for Movere engagement or work, as we await approvals from stakeholder Agathe Sitruk, of which we expect to receive in or around April 2024.

Lead Directorship Duties (TBD)

Lead directorship duties, for creative vision and marketing appeal, are currently pending final negotiations with Agathe Sitruk. If not required, Mr. Giannaris will be the first option to helm the lead directorship duties of Movere. If negotiations stipulate a lead director is indeed required, pending mandated terms of engagement of any lead director, the expectation payment should be on or around €1,250,000 to adequately accomodate any such appointment. Any unused excess capital allocation under Marketing and Distribution will revert back to the Runoff Value Buffer Zone.

  1. First Priority (Option): Gabriela Cowperthwaite:

    • Preliminary negotiation with Agathe Sitruk and the LupoToro Group teams involved have agreed Ms. Cowperthwaite would be a suitable solution to spearhead directorship duties.

    • Ms. Cowperthwaite has directed acclaimed documentary, Blackfish, and remains (at the time of inclusion) the primary focus for negotiation and potential inclusion within Movere.

      • It should herein be noted that, pending expected April 2024 negotiations with Agathe Sitruk and her representatives, the LupoToro Group will prepare to engage in negotiations with Ms. Cowperthwaite only after such negotiations are completed. Prior to this, Ms Cowperthwaite will not be contacted.

  2. Second Priority (Option): Mario Andreacchio:

    • Mr Andreacchio has directed larger budget entertainment projects, such as Napoleon and Paradise Found, and remains a validated and established director within the film industry. Mr Andreacchio is known to director of LupoToro Group, Mr Matthew elNajar, and is a viable option for directorship, based on a personal connection.

      • It should herein be noted that, pending expected April 2024 negotiations with Agathe Sitruk and her representatives, the LupoToro Group will prepare to engage in negotiations with Ms. Andreacchio only after such negotiations are completed. Prior to this, Mr Andreacchio will not be contacted.

4. Particulars

Marketing and Distribution

Expensed wholly or partially, preallocated in this summary, dated 2023, pending future-date milestone achievements, including distributional partner(s). With a partner allocated to the project under mandate, this expense will reduce on a sliding percentage basis, pending mandated terms of distribution and marketing. Excess capital allocation under Marketing and Distribution will revert back to the Runoff Value Buffer Zone.

Post-Production

Whilst post-production values are outside of the scope of this initial Memorandum Summary, we note the following key items for post-production inclusion. Note: Post-production is expected to take place in London, United Kingdom, based on the key stakeholder’s current location, as well as the expected Principal Film Crew location.

  1. Studio Time Inclusions: Voiceover, sound design and mastering, and visual effects (within the editing suite), including any revisionary works.

  2. Focus group testing: Facilities for focus group testing dependant on distribution partners, yet to be determined.

Contingency and Miscellaneous Expense Allocation

Any contingencies or unexpected expenses will be pulled from the Runoff Value Buffer Zone, currently pegged at approximately €1,008,200. The LupoToro Group conservatively value the Runoff Value, with inclusions accounted for (as above).

5. Principal Photography and Travel

Travel expenses have been segregated from the principal photography (summarised under the integration of the Kouri Principal Film Crew; pre-established and agile crew available for deployment for principal photography works).

The LupoToro Group have access to Axis Travel Centre (ABN 45 007 869 123), an established travel agency with over 38 years experience. They are well positioned with end-to-end management of film-specific project travel arrangements. Their experience includes travel for ‘Catch Me If You Can’ (2002 Film; Steven Spielberg, Walter F. Parkes, DreamWorks Pictures), and projects by Mario Andreacchio. Axis Travel Centre will be accessible and able to arrange all main travel itineraries for all crew for Movere. They will be engaged only after the completion of expected April 2024 negotiations between LupoToro Group, Agathe Sitruk and her representatives.

6. Agathe Sitruk and The LupoToro Group

The LupoToro Group are in the process of mandating and securing final terms with Agathe Sitruk, including her renumeration, of which the LupoToro Group would seek to allocate a minimum of €800,000 to €1 million, in her favour. The LupoToro Group would seek to maintain a portion of dividend rights (up to 20%, negotiable, pending final terms mandated and agreed with Agathe Sitruk and her representatives), in lieu of any upfront payment(s) from any capital raise or funding. This will cover amounts expensed to-date on the preparation, storyboarding, conceptualisation, pre-planning, investor priming and negotiations, pitch documentation, and other works, including scripting, commenced from August 2023 to date. This is subject to change, pending final terms mandated and agreed, with Agathe Sitruk and her representatives.

LupoToro Group will do its best to insulate any expenses incurred prior to initial seed funding injections into Movere, and only look to have the account closed (balanced) upon investment injection. LupoToro Group would seek to, on behalf of Agathe Sitruk, have prepayment at a set and agreed percentage, paid upfront to ensure she is financially stable and able to continue with the required workload, as pre-principal and principal photography commences.

7. Potential Sources and Assistance (Pending further verification)

Until we can authenticate any potential access to any of these resources with our third-party conduits and networks, we cannot confirm their participation, inclusion or interest in Movere. The LupoToro Group cannot verify the veracity of these potential resources but has provided them within this investor document based on good faith extended to some particular resources that we have engaged, in support of this documentary project.

4. Forecasting Insights

A significant portion of documentary professionals, nearly half (47%), derive most or all of their annual income from documentary work. The data we are looking at specifically makes comparisons with current trends, being, integration or association with BIPOC individuals leading a project (Black, Indigenous, and people of colour). Whilst Agathe Sitruk does not fit this profile, Movere certainly has a large cultural focus on BIPOC, and the LupoToro Group believe further inclusion of BIPOC individuals throughout the process of production would be a formative move.

Specifically, within the film making and production sector, within the United States and Australia, 46% of BIPOC professionals rely on documentary work for most of their income, a comparable 48% of white documentary professionals do the same.

Notably, women documentary professionals, at 50%, have a higher reliance on documentary work for their income compared to men, standing at 39%.

The COVID-19 pandemic has had a substantial impact on the financial stability of documentary professionals, with nearly three-quarters (74%) reporting that it has harmed their financial security to some extent, as of 2023 recorded data by Film Australia. We need to take this into consideration as it represents an opportunity, which is certainly on trend for 2024 onwards, as documentary production spikes in response to both a recovery action, as well as general growth within the sub-sector due to increased interest; appetite is on the rise, especially for female-led productions.

Motivational Insights

The primary motivation for documentary professionals is to make a positive impact on social issues, with 47% citing this as their main motivation. They also highly value their independent creative voice and prioritise artistry and artistic expression.

While BIPOC and white documentary professionals share similar motivations regarding the positive impact on social issues, there is a gender-based difference. Women are more inclined (51%) towards making an impact on social issues compared to men (42%), who show a higher motivation towards artistic expression.

Distribution and Future Options

Documentary professionals foresee the greatest future options in series (55%), short-form docs (39%), and feature-length films (37%). Regarding distribution, streaming platforms (49%) are perceived as offering the most significant future opportunities, followed by grassroots community distribution (32%) and TV (25%).

While documentary professionals generally align in their perceptions, there are nuanced differences. Women professionals are more optimistic about grassroots community screenings as a future opportunity compared to their male counterparts (39% vs. 31%). Additionally, women tend to have more enthusiasm for grassroots screenings compared to men (34% vs. 29%).

Revenue and Pay - A Female Opportunity

Commissioned work from film studios or TV networks (21%) is identified as the greatest economic opportunity by documentary professionals, followed by foundation and nonprofit grant funding (14%). Conversely, funding from recoupable grants, investment financing, shared advertising revenue, and subscription-based revenue are not regarded favourably as income sources.

BIPOC and women documentary professionals heavily rely on foundation and nonprofit grant funding for their income streams and perceive it as a significant opportunity. This is part of the reason why the LupoToro Group are willing to proceed even pre-mandate (as duly noted throughout this preliminary deck) to support Agathe Sitruk as a young creative woman within the industry. In alignment with our values and ethics we must do what we can to provide ongoing support for disadvantaged minority groups, especially in industry, should we have an opportunity. This opportunity is also forwarded to any potential investor of Movere.

In terms of personal income from their most recent films, more than half (53%) of documentary makers earned less than $25,000, with BIPOC filmmakers and women filmmakers reporting lower income levels compared to their white and male counterparts.

The LupoToro Group have internal policies in which we are dedicated to upholding the equality of our workforce and partners in which we work with. Therefore, the LupoToro Group are willing to guarantee Agathe Sitruk a payment between €800,000 and €1 million, should the Movere documentary project meet expectations during production in keeping with our policies and ethical constitutions.

These insights underscore the complex dynamics within the documentary industry, highlighting disparities in income, distribution opportunities, and motivations among documentary professionals based on race and gender. As the industry navigates challenges and opportunities, understanding these nuances is crucial for fostering inclusivity and sustainability within the documentary ecosystem.

Forecast Earnings

To forecast earnings for Movere, presuming a budget of €9.8 million releasing on a major streaming platform, several factors need consideration:

  1. Subscriber Base: The streaming platform's current subscriber base will significantly impact potential earnings. The more subscribers, the higher the potential audience for the documentary.

  2. Viewer Interest: The topic, genre, and quality of the documentary will determine viewer interest and engagement. Highly compelling documentaries tend to attract more viewers, leading to higher earnings.

  3. Streaming Platform's Revenue Model: Different streaming platforms have varied revenue models. Some platforms pay a flat licensing fee, while others pay based on viewership metrics like the number of views or hours watched.

  4. Marketing and Promotion: The level of marketing and promotion undertaken for the documentary will influence its visibility and ultimately its viewership numbers.

  5. Critical Reception and Awards: Positive critical reception and awards can boost the documentary's credibility and attract more viewers.

Conservative Estimations

Given the above mentioned factors, we can make a conservative estimate for potential earnings, using the parameter that Movere attracts a significant audience due to its compelling subject matter and positive critical reception. We can make the following considered assumptions:

  • Assuming the streaming platform pays a licensing fee, which is common for major streaming platforms, let's estimate a licensing fee of 20% (based on the industry average, Film Australia, FY2023) of the documentary's budget, i.e., €9.8 million * 20% = €1.96 million.

  • This licensing fee would be paid upfront to the documentary producers by the streaming platform for the rights to stream the documentary for a specific period, typically for 12 months, and on a per-region basis.

  • Generally it is on a timed-release basis, meaning it can be co-licensed under multiple platforms at a later date (or, in some instances, at the same time, region-dependant). The per-region basis is highly dependant on each streaming service, and may be subject to cultural differences, distribution channels, and other factors; this is way streaming platforms tend to have different options, per region. A work example is below:

    • Netflix Australia (€1.96 million), Netflix Europe (€1.96 million), Netflix USA (€1.96 million), returns a €5.88m gross in year one, across one platform provider, and just three of their operational regions. This does not preclude the licensed sale of Movere on other platforms including timed-rent, which is a popular option on Amazon Prime and YouTube Premium.

    • The original IP of Movere, in this instance, would still be owned and retained by the originating controlling parties, and executive decisions on expansion can be made accordingly for continued profitability. It's important to note that this estimate is conservative and actual earnings could vary significantly based on the factors mentioned earlier.

  • Should Movere prove to be exceptionally popular and attracts a large audience, it could lead to additional revenue streams such as DVD/Blu-ray sales, merchandise sales, or even potential spin-off projects, of which would dramatically increase the net profit recuperation base.

  • Any potential investor stands to bolster their existing portfolio of production assets with the inclusion of a documentary project in-cart.

Working Example: South Australian film, Talk to Me, was conceptualised and produced by South Australian group RackaRacka, of whom are personally known and connected to the Directors of the LupoToro Group. In this specific case, we can disclose the following regarding this successful film production:

  • Production investment neared $5 million. Financial incentives were provided by the Adelaide Film Festival Investment Fund and South Australian Film Corporation.

    • [Due to project privacy, LupoToro Group are unable to disclose the total funding pool].

  • As of October 2023, the film has grossed $48 million (€44 million) across just the United States and Canada, with an additional earnings rated at $42 million in other countries and territories, for a worldwide total exceeding $90 million (€82 million).

  • Distribution channels were not set during production, and production was kept within South Australia.

Agathe Sitruk, the founder and key stakeholder of Movere, is unmistakably brilliant, however she does require ongoing support and guidance throughout the filmmaking process as she is new to the production process at hand. The LupoToro Group recognises this, and we have solidified an action plan to ensure Agathe receives the support she requires.

Critically, the LupoToro Group have ensured that not only have we ensured our first priority and accessible selection for lead production duties (and management of the principal photography team) is equipped and experienced to mentor Agathe, but also that she is available in London, England, in which Agathe currently resides.

Why Ongoing Support is Crucial

  1. Learning Curve: As a young stakeholder, Agathe may face a steep learning curve in navigating the complexities of documentary filmmaking, from pre-production planning to post-production editing. Whilst she is not responsible for these duties directly, she will oversee the process, and therefore a careful and attentive mentor in place will be necessary.

  2. Industry Insights: An experienced mentor can provide invaluable insights into the industry landscape, current trends, and best practices, helping Agathe make informed decisions and avoid common pitfalls.

  3. Skill Enhancement: Agathe is eager to enhance her skills in storytelling, cinematography, editing, and other aspects of film production. A mentor can offer personalised guidance, impart her industry experience and constructive feedback to help Agathe develop her skills effectively.

  4. Networking Opportunities: Through mentorship, Agathe will expand her personal network within the film industry, connecting with professionals who can offer guidance, collaboration opportunities, and potential funding sources.

Given that both the key stakeholder, Agathe, and the proposed principal team lead, Chryssanthi, are based in London, we have the advantage of proximity and accessibility, facilitating seamless support delivery. Here's how the support will be provided:

Chryssanthi Kouri forms part of a conduit connection within the LupoToro Group. At the time of preparation, we have chosen not to formally engage her for Movere discussion, pending approvals from stakeholder Agathe Sitruk, of which we expect to receive in or around April 2024. Until binding agreements with the key stakeholder are finalised, signing of conduit-provided assets, including Ms. Kouri, is premature.

However, Ms. Kouri is aware of a potential film project that the LupoToro Group are currently working towards (the ‘Movere’ project name was withheld at the time of communication).

C) Current State of Movere Concept Building

The internal state of Movere is in alignment with our cost-saving conceptualisation process, utilising both external (pre-built, existing assets and films, stock footage, publicly available materials, and similar items), as well as in-house talent (such as storyboard art and writers), with a goal to develop a vision for the project Movere, without further expenditure of financial and time resources. We are building an internal concept (for internal use only; not for release) based on external materials in order to visualise and refine the idea of Movere.

This simultaneously verifies if the project is indeed worth pursuing which may reduce pre-production time (should it proceed), as the foundational concepts and ideas would have already been discussed and conceptualised. This time-saving method translates to cost-savings, which any investor would appreciate.

It is necessary that we internally take the most cost effective route-to-concept, to ascertain whether we believe that Movere can evolve from an idea into a fully realised production. Agathe Sitruk is aware of our process in this regard, and is due, as noted, for open discussion, negotiation, and potential agreement (through a formal mandate) in April 2024, in which we will travel to Europe to meet with her and her representatives.

At this time, the LupoToro Group are acting in good faith on behalf of and in respect to Agathe Sitruk, and share her passion and vision for curating interesting and relevant works.


D) Ethical Considerations in the production of Movere

The production of Movere requires clear and documented ethical considerations for all participants to acknowledge and follow across the entire production journey. These ethical considerations are currently being drafted into a Tenants for Movere form, to be further refined and finalised in the coming months. The Tenants of Movere will form part of the binding paperwork, as well as on-site agreements, for all members of production and crew to uphold.

These responsibilities translate directly into our collective duties owed to our subject audience, being:

  1. Informed Consent: All participants involved with Movere must be fully informed about how they will be depicted in any footage or production.

  2. Authentic Representation: Any subjects represented must be portrayed truthfully and impartially.

  3. Complete Team Privacy: All participants involved with Movere should honour the privacy of their subjects entirely.

  4. Confidentiality: Certain information may require strict confidentiality, and this must be handled with the utmost of care and respect.

  5. Harm Minimisation: All participants involved with Movere should take steps to avoid causing harm to their subjects.

  6. Transparency: All participants involved with Movere are required to be transparent about their intentions.

  7. Accuracy: The Movere production and leadership teams must strive for factual accuracy.
